What is a One Person Company?
A One Person Company (OPC) is a unique business structure introduced under the Companies Act, 2013 that allows a single entrepreneur to incorporate a company and enjoy all the benefits of a corporate entity — including limited liability and perpetual succession.
Unlike a sole proprietorship, an OPC is a separate legal entity from its owner. The sole member is protected from personal liability, meaning business debts cannot be recovered from personal assets.
OPC is ideal for solo founders, freelancers, and small business owners who want the credibility and legal protection of a company without the need for multiple shareholders or directors.
Single Member Company

Requirements for OPC Registration
- Only one member/shareholder is required (must be a natural person).
- One director (can be the same as the member).
- A nominee must be appointed who will take over in case of death or incapacity of the member.
- The member must be an Indian citizen and resident in India (stayed at least 182 days in the preceding calendar year).
- NRIs are not eligible to incorporate an OPC.
- Minors are not eligible to be a member or nominee.
- A person cannot incorporate more than one OPC or be a nominee in more than one OPC.
- Annual turnover should not exceed ₹2 crores (mandatory conversion beyond this).
Documents Required
- PAN Card of the member and nominee.
- Aadhaar Card / Passport / Voter ID / Driving Licence as address proof.
- Passport-size photograph of the member and nominee.
- Latest bank statement or utility bill (not older than 2 months) as residence proof.
- Mobile number and email address of the member.
- Nominee consent in Form INC-3.
- Electricity bill or water bill of registered office (not older than 2 months).
- NOC from property owner if rented premises.
- Rental agreement if the property is rented.
OPC Registration Process
- Obtain DSC (Digital Signature Certificate) for the director.
- Apply for DIN (Director Identification Number).
- Reserve company name through SPICe+ Part A on MCA portal.
- File SPICe+ Part B with MOA, AOA, and nominee consent (Form INC-3).
- Receive Certificate of Incorporation from MCA.
- Apply for PAN and TAN post-incorporation.
Taxation & Compliance
- OPC is taxed as a Private Limited Company — flat 25% or 30% corporate tax rate.
- Annual return must be filed with MCA every year.
- Financial statements must be audited by a Chartered Accountant.
- Income Tax return must be filed before the due date.
- Board meetings must be held at least once every 6 months.
