What is a Limited Liability Partnership?
A Limited Liability Partnership (LLP) is a hybrid business structure that combines the flexibility of a traditional partnership with the protection of limited liability. It is governed by the Limited Liability Partnership Act, 2008 and registered with the Ministry of Corporate Affairs (MCA).
In an LLP, each partner is protected from the personal liability caused by the negligence or misconduct of other partners. The LLP itself is a separate legal entity, capable of owning assets, entering contracts, and suing or being sued in its own name.
LLPs are widely preferred by professionals such as lawyers, chartered accountants, architects, and consultants — as well as small and medium businesses looking for a low-compliance corporate structure.

Requirements for LLP Registration
- Minimum 2 designated partners are required (no upper limit on total partners).
- At least one designated partner must be a resident of India.
- Each partner must contribute towards the shared capital of the LLP as agreed.
- If a body corporate becomes a partner, a natural person must be nominated to represent it.
- No minimum capital contribution required.
- A unique LLP name not similar to existing companies or LLPs.
- Registered office address in India.
- DPIN (Designated Partner Identification Number) for all designated partners.
Documents Required
- PAN Card of all partners.
- Address proof of all partners (Aadhaar / Passport / Voter ID / Driving Licence).
- Residence proof of all partners – bank statement, electricity bill, telephone bill, or gas bill (not older than 2 months).
- Recent passport-size photograph with white background (1 per partner).
- Foreign nationals / NRIs: notarised passport copy + address proof (driving licence, bank statement, or government-issued ID with address).
- Proof of registered office address – rent agreement + NOC from owner if rented; recent utility bill (electricity / gas / telephone) not older than 2 months.
- Digital Signature Certificate (DSC) for designated partners.
LLP Registration Process
- Obtain DSC (Digital Signature Certificate) for designated partners.
- Apply for DPIN (Designated Partner Identification Number).
- Reserve LLP name through RUN-LLP form on MCA portal.
- File incorporation documents using FiLLiP form.
- Draft and file the LLP Agreement within 30 days of incorporation.
- Receive Certificate of Incorporation from MCA.
- Apply for PAN and TAN for the LLP.
Taxation & Compliance
- LLP is taxed as a partnership firm — income taxed at 30% flat rate.
- Annual return (Form 11) must be filed with MCA every year.
- Statement of Accounts & Solvency (Form 8) to be filed annually.
- Income Tax return must be filed before the due date.
- Audit is mandatory if turnover exceeds ₹40 lakhs or contribution exceeds ₹25 lakhs.
